1. Introduction
Welcome to Vorla, an AI-based tools for the generation and editing of visual content, including but not limited to images and videos (the "Service"). By accessing or using our website at https://vorla.ai (the "Site"), you agree to be bound by these Terms and Conditions (the "Terms"). These Terms govern your use of the Site and the Service provided by Vorla("we," "us," or "our").
Please read these Terms carefully before using the Service. If you do not agree with any part of these Terms, you must not use the Site or the Service.

2. Account Registration
To access Vorla's advanced image processing features, you must create an account by completing our registration process. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. Vorla reserves the right, in its sole discretion, to refuse, suspend, or terminate your access to the Service or your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
To use our Services, you must be at least 13 years old (or the legal age of digital consent in your country). Users between the ages of 13 and 18 must have the permission and supervision of a parent or legal guardian to use the platform. By creating an account, you represent that you meet these age requirements. Vorla reserves the right to terminate accounts if it is discovered that a user is under the required age.
3. Right to access the Service
Subject to your acceptance of and compliance with the terms and conditions of this Agreement, Vorla hereby grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Program solely for lawful purposes. This license is personal to you and may not be assigned or sublicensed to any third party without our prior written consent.
4. Prohibited Conduct
You agree not to:
- Use the Service to generate or distribute any content that is illegal, harmful, abusive, defamatory, obscene, or otherwise objectionable.
- Use any automated system, including bots, spiders, or scrapers, to access the Site or the Service.
- Attempt to reverse engineer, decompile, or disassemble any part of the Service.
- Engage in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service.
- Use the Service to infringe upon the intellectual property rights of others.
- Using the services for any illegal purpose or in violation of any local, state, national, or international law.
- Using the services for commercial purposes, including advertising or selling products or services without our express written consent.
- Collecting or harvesting any personally identifiable information from Vorla without consent.
- Engaging in any form of harassment, abuse, or threatening behavior towards other users or third parties.
5. User Content
5.1 License to Vorla
By submitting User Content, you grant Vorla a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such content solely for operating, improving, and promoting the Service.
5.2 Ownership and Responsibility
We do not monitor user uploads. You are solely responsible for ensuring legal compliance. We disclaim all liability for any legal disputes arising from user-submitted content. You retain ownership of all content you upload, generate, or submit through the Service, including videos, images, text, and other materials ("User Content"). You are solely responsible for the accuracy, legality, and appropriateness of your User Content.
5.3 Content Restrictions
General Prohibitions
To maintain a safe and responsible platform, you may not upload, generate, or share content that:
- Contains nudity, biometric data, violence, sexually explicit material, or harmful/harassing content.
- Uses another person's likeness, voice, or identity without permission.
- Violates any applicable laws or third-party rights.
Content Restrictions - Maturity Requirement
Due to the non-deterministic nature of AI generation, which may occasionally produce mature or complex themes, the Service is primarily optimized for and intended for users aged 18 and older. While younger users may access the platform with guardian consent (as per Section 2), Vorla is not responsible for any discomfort caused by AI-generated outputs. Guardians are solely responsible for monitoring the activity and content exposure of minor users.
Prohibited Content Categories
We strictly prohibit:
- Illegal Content: Fraud, violence, illegal goods/services.
- Harmful Content: Hate speech, terrorism, political extremism, discrimination.
- Explicit Content: Pornography, excessive violence, animal cruelty.
- IP Infringement: Unauthorized use of copyrighted/trademarked materials.
- Misinformation: Intentionally false or deceptive content presented as factual.
- Privacy Violations: Unauthorized disclosure of personal information.
- Harassment: Bullying, threats, or targeted abuse.
- Self-Harm: Promotion of suicide or dangerous behaviors.
- Malicious Code: Spam, malware, phishing attempts.
- Impersonation: Misleading representation of individuals/organizations.
5.4 AI-Specific Restrictions
- No unauthorized use of likeness, voice, or biometric data.
- No deceptive deepfakes or impersonation.
- No sensitive personal data inputs without legal authorization.
- No misrepresentation of AI content as human-created.
- No exploitative content involving minors.
- NO remove watermarks from content you do not own or lack legal rights to modify. This includes copyrighted works from professional photographers, studios, or stock libraries.
5.5 Enforcement
We reserve the right to:
- Remove violating content without notice.
- Suspend or terminate non-compliant accounts.
- Pursue legal action for violations.
Continued use of the Service constitutes acceptance of these restrictions.
6. Content & Intellectual Property Rights
6.1 Ownership of Vorla Assets
All "foundational elements" of the Vorla platform—including but not limited to our brand identity, software code, interface design, official prompt templates, AI models, and all interactive features—are the exclusive property of Vorla or our licensors. These Terms do not grant you any commercial rights or ownership over our technology; we simply welcome you to use these tools to fuel your creativity.
6.2 Your Creations & Usage License
- Your Ownership: We believe that the spark of creativity belongs to the creator. You retain full ownership of any original materials (images, videos, text) you upload to Vorla, as well as the unique outputs generated through our services.
- Operational License: To allow our systems to process, render, and sync your work across devices, you grant Vorla a world-wide, royalty-free, and non-exclusive license to host, store, adapt, and display your content. This license is strictly limited to providing, maintaining, and improving the Vorla experience.
6.3 Content Standards & User Responsibility
As a creator on our platform, you are the pilot of your own content. By using Vorla, you agree to the following:
- Rights Guarantee: You must ensure that you possess all legal rights to any images or videos you upload. Vorla prohibits the use of materials that infringe upon the copyrights, trademarks, or privacy rights of any third party.
- The "Red Lines": We maintain a zero-tolerance policy for harmful content. You may not use Vorla to process, generate, or distribute material that is sexually explicit, graphically violent, hateful, defamatory, or otherwise illegal under applicable laws.
- Liability Disclaimer: Vorla acts solely as a technical service provider and does not assume responsibility for user-generated or uploaded content. Any legal consequences arising from a breach of these standards are the sole responsibility of the user.
6.4 Reporting & Enforcement
Vorla is committed to fostering a safe and respectful creative environment. We have established clear protocols for handling misconduct:
- Right to Act: If we receive a report or become aware of content that violates these Terms, we reserve the right to remove, block, or delete the offending material and suspend or terminate the associated account without prior notice.
- Compliance: Vorla will cooperate fully with law enforcement or regulatory authorities should any content be found in violation of public safety or legal statutes.
6.5 Feedback & Suggestions
We value your input in making Vorla better. Please note that if you share ideas, feature requests, or feedback with us, you agree to assign all rights to such feedback to Vorla. We are free to implement these improvements into our service without any obligation to provide compensation or credit.
7. Payment & Subscription
7.1 Service Fees and Billing
Certain premium features on Vorla are provided as Paid Services. By opting into these services, you agree to the pricing and charges specified at the point of purchase.
- Billing Information: You agree to provide accurate and complete billing details. All transactions are processed via our secure third-party Payment Processor.
- Dual Terms: Your payments are governed by both these Terms and the specific privacy and service policies of our Payment Processor.
7.2 Flexible Subscriptions
To ensure uninterrupted creative flow, Vorla offers flexible subscription plans:
- Billing Options: We offer Monthly and Yearly billing cycles.
- Automatic Renewal: All subscriptions renew automatically at the end of the period (Monthly, or Yearly) unless cancelled at least 24 hours before the renewal date.
If you require additional resources beyond your subscription allotment, Vorla offers "Pay-as-you-go" credit packs.
- Usage Logic: Credit packs are separate from your monthly subscription allotment.
- 180-Day Validity: Unlike subscription credits that may reset monthly, credits purchased via Credit Packs remain available for 180 days from the date of purchase. Any unused credits will expire after this 180-day period.
7.3 Refund Policy
To maintain our high-performance AI infrastructure and dedicated GPU resources, Vorla operates on a clear Refund Policy designed to ensure fairness and transparency. Please review the following terms regarding our Monthly/Yearly Subscriptions and Credit Packs:
- Monthly and Yearly Subscriptions: We offer a limited refund window for our subscription plans. If you are not satisfied with your Monthly or Yearly subscription, you may request a refund by contacting us via the Contact Us page. To be eligible, your refund request must be submitted within 3 days of the initial purchase date or before 50 subscription credits are used. Refunds will not be granted if both the time limit and the credit usage limit have been exceeded.
- Credit Packs (Final Sale): Due to the immediate nature of digital resource allocation, all purchases of Credit Packs are considered final. Once the transaction is processed, Credit Packs are non-refundable and cannot be exchanged for cash or other services.
- Consumer Withdrawal Rights: We acknowledge that in certain jurisdictions (such as the European Union and the United Kingdom), consumers may have a statutory right to withdraw from a digital service purchase within 14 days. However, by streaming or downloading digital content, or by initiating the AI generation process, you expressly consent to the immediate performance of the Service and acknowledge that you thereby waive your right of withdrawal.
- Exceptional Requests & Further Details: If you believe a billing error has occurred or a technical failure on our platform prevented you from utilizing the Service, you may contact us for review. 7.4 Pricing Adjustments
Vorla reserves the right to evolve its pricing structure. Any changes to subscription fees will be communicated to you in advance via email or site notification. New rates will only apply to your next billing cycle following the notice; your continued use of the service constitutes acceptance of the new pricing.
7.5 Payment Delinquency & Security
- Service Suspension: If a scheduled payment fails, we reserve the right to temporarily suspend or terminate your access to Paid Services until the balance is cleared.
- Fraud Prevention: We actively monitor for fraudulent activity. If a transaction appears suspicious, Vorla reserves the right to cancel the charge and freeze the associated account immediately to protect our community and platform integrity.
8. Termination & Suspension
8.1 Termination by You
We respect your autonomy. You may terminate your account at any time via the "Account Settings" on the Vorla platform or by contacting our support team.
- Immediate Effect: Upon confirmation of your termination request, your right to access Vorla and its premium features will cease immediately.
- Continuing Obligations: Closing your account does not waive any payment obligations incurred prior to termination. Furthermore, any necessary content licenses granted to Vorla will remain in effect within the scope permitted by law.
8.2 Platform Management & Restrictions
To maintain the safety of our community and the integrity of our operations, Vorla reserves the right to suspend or terminate your access under the following circumstances:
- Compliance Enforcement: If we have reasonable grounds to believe you have violated these Terms—including but not limited to posting prohibited content, engaging in payment fraud, or interfering with system operations—we may restrict, suspend, or permanently close your account without prior notice.
- Operational Maintenance: We may occasionally need to suspend parts of our service for technical maintenance, system upgrades, or legal compliance. We will make reasonable efforts to notify you of such scheduled downtimes via platform notifications or email.
8.3 Effect of Termination
Upon the termination of your account—whether initiated by you or by Vorla—the following legal effects will apply:
- Revocation of Rights: All software licenses and usage rights granted to you under these Terms will terminate instantly, and you must cease all use of Vorla services.
- Data Access: You will no longer have access to any user content or generation data stored within your account. Vorla will only retain backup data as required by law or for legitimate business purposes (such as financial auditing and record-keeping).
- Limitation of Liability: Vorla shall not be held liable for any loss of anticipated profits or data resulting from the termination or suspension of your access.
8.4 Survival of Terms
Provisions that by their nature should survive termination shall remain in full force and effect. This includes, but is not limited to: Intellectual Property Ownership, Disclaimers of Warranty, Indemnification, and Payment Obligations.

10. Disclaimers, Limitation of Liability, and Indemnity
10.1 "As-Is" Service Disclaimer
Vorla provides its AI-powered services on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we expressly disclaim all warranties, whether express, implied, or statutory, including but not limited to:
- Performance: We do not warrant that the service will be uninterrupted, secure, error-free, or free from harmful components (such as viruses).
- Accuracy: We do not guarantee the accuracy, reliability, or completeness of any content generated by our AI models.
- Fitness: We disclaim any implied warranties of merchantability or fitness for a particular purpose. Your reliance on any output generated by Vorla is strictly at your own risk.
10.2 Limitation of Liability
In no event shall Vorla, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to:
- Intangible Losses: Loss of profits, data, goodwill, or use.
- Service Reliance: Any damages resulting from your use of, or inability to use, the service or any AI-generated content.
- Third-Party Actions: Any conduct or content of any third party on the service.
- Force Majeure: Any failure or delay caused by events beyond our reasonable control, such as natural disasters, power outages, or government restrictions.
Note: Our total liability for any claim arising out of these terms shall not exceed the amount you paid to Vorla in the six (6) months prior to the event giving rise to the liability.
10.3 Third-Party Links and Content
Vorla may contain links to third-party websites or services that are not owned or controlled by us. We assume no responsibility for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that Vorla shall not be responsible or liable, directly or indirectly, for any damage or loss caused by your use of such external resources.
10.4 Indemnification
You agree to defend, indemnify, and hold harmless Vorla and its officers, directors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your Usage: Your use of and access to the Vorla services.
- Content Violations: Any content you upload or generate that infringes upon the intellectual property or privacy rights of a third party.
- Breach of Terms: Your violation of any provision of these Terms of Use or any applicable laws and regulations.
11. Modifications to Terms
11.1 Right to Amend
Vorla reserves the right to modify, update, or replace these Terms of Use at any time, at our sole discretion, to reflect changes in our services, market conditions, or legal requirements.
11.2 Notification of Changes

Your continued use of Vorla also signifies your ongoing agreement to license our products and technologies in accordance with the updated Framework. Please ensure you have read and understood all applicable agreements before proceeding with your creative projects.
12. Governing Law and Dispute Resolution
Governing Law These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the jurisdiction where Vorla is located, without regard to its conflict of law principles.
Amicable Negotiation In the event of any controversy, claim, or dispute arising out of or relating to these Terms, the Service, or your relationship with Vorla, both parties agree to first attempt to resolve the matter through friendly and good-faith consultations. Exclusive Jurisdiction If the parties are unable to reach a resolution through negotiation within thirty (30) days of the dispute's commencement, such dispute shall be submitted to the exclusive jurisdiction of the competent courts in the location where Vorla is headquartered. You hereby consent to the personal jurisdiction of such courts and waive any objection to such venue on the grounds of inconvenient forum.
